Dalkia Poland successfully completed public offer for Praterm

Following completion of its public offer launched last 17th December, Dalkia has become, with 97.9 % of the shares, the majority shareholder of Praterm, a Polish district heating company. The transaction has strengthened Dalkia's positions in Poland, where it already owns and operates two of the country's largest heating networks, in Poznan and Lodz.

Dalkia Polska launches public offer for Praterm shares

Dalkia Polska has launched a public offer to purchase all outstanding shares of Praterm, listed on the Warsaw Stock Exchange, at a price of PLN 51 per share for a total of PLN 527 million (146 million Euro). The offer, for which ABN-AMRO acted as financial advisor, is subject both to approval by the Polish competition authorities and to current shareholders tendering at least a controlling interest in the company (50% of outstanding shares plus one).

Praterm is currently owned by Nova Polonia and NFMO (21.45%), pension and investment funds (28%) and the investing public. Shareholders wishing to tender their shares to the offer should contact ING Securities SA.

Praterm operates in 21 mid-sized cities in North, South and Southeast Poland. With 206 km of small and mid-sized networks, Praterm distributes the heat it produces to nearly 520,000 people. A total of 4.2 million gigajoules of heat was sold in 2006. Praterm has 800 employees and recently acquired a new company producing biomass.

Dalkia Polska is an energy services company with revenue of 322 million Euro in 2006. Its core businesses include heat production and distribution, primarily in the Poznan and Lodz regions. The two companies therefore offer a good geographic and business fit.





Praterm accelerates biomass market investments

Praterm for 180 thousands PLN has bought 50 percent of shares of Eurobiomass Polska, which is specialized in production of biomass devices, boilers and thermal stations. In next few weeks capital will be increased with 4 millions PLN and that gives Praterm 80 percent of shares. Aquired funds will be used for production improvement.

Thermal power station in Radomsko has joined the Praterm Group

PEC Chrzanów Sp. z o.o., in 1th December 2006 signed the purchase agreement. Subject matter of agreement was thermal power station in Radomsko. Price of purchase amounted 10 millions PLN.



Environmental grants
2006-03-21

Heating plant in Tarnowskie Góry and CHP in Świdnik will receive PLN 4,2 millions grants for environmental projects. HP in Tarnowskie Góry will spend PLN 1,6 millions and CHP in Świdnik will spend PLN 6,8 millions (of which 50% will be financed from grants) on dust elimination installations.



Praterm has acquired a heating plant in Gniew

CHP in Kraśnik added to Praterm Group

The 8th December 2005 Praterm has signed agreement to purchase 100% of shares in CHP_FŁT in Kraśnik for PLN 12 052 000. Praterm has declared to invest over PLN 3 000 000 in the CHP, within next 5 years.



Praterm acquired heating plant in Modlin

On the 23rd September 2005 Praterm acquired assets of a heating plant in Nowy Dwór Mazowiecki - Twierdza Modlin.

The annual sales reach 93 000 GJ and PLN 3,2 milions.




ATEX acquired by Praterm
2005-09-22

Praterm has acquired from EC Kraków majority stake of shares in P.W. Atex Sp. z o.o.

P.W. Atex generates heat in the plant with installed capacity of 87 MW, and as a main producers in the city supplies the heat to distribution company - PEC - already owned by Praterm.




Praterm shares debuted on WSE

Praterm acquired PEC in Lidzbark Warmiński.

Praterm has signed agreement to acquire 85% of shares in PEC Lidzbark Warmiński. Praterm has declared to increase PLN 3,3 millions of capital in PEC, which will give 96% onwership.



Praterm shares approved by SEC for public trading

Praterm shares were allowed for public trading by SEC on the 22nd October 2004.
The debut of Praterm shares on Warsaw Stock Exchange is planned for this year.




Praterm`s Prospectus in SEC

Producer and distributor of heat Praterm has sbumited its prospectus. Company wants to be listed on WSE this year.

Warsaw based Praterm operates on the heating market since 1998. It`s strategy is based on acquisitions small and medium size heating plants.

Praterm Group consist 10 heating plants and one combined heat power plant. - Our target is to build a group consisting few dozen heating plants producing annually over dozen millions GJ of thermal energy - says Krzysztof Prucnal, Vice-President of the Board.

Management has confirmed that part of further acquisition will be financed with money raised on public market. - Taking into account business stability and growth potential related to further market consolidation, we are an attractive Company for investors - Mr. Prucnal added.

In 2003 Praterm took over 3 heating plants - HP in Zamość, HP in Międzyrzec Podlaski and HP in Tarnowskie Góry. This year company acquired majority stake in HP in Chrzanów and was selected to invest in HP Olsztyn, where the negotiations are run currently.

Praterm`s revenues in 2003 were PLN 84 millions, EBIT PLN 9,1 millions and net income PLN 4,6 millions. The numbers show growth of 81%, 42 and 39% respectively.

MPEC Olsztyn Privatization

Privatization commission has chosen Praterm as an investor for Heating Plant in Olsztyn. Negotiations of final sales terms and condition between the City and Praterm will be continued until 30th October 2004



Third place at the Polish Championships
2004-05-02

The team representing Praterm, comprising: Jacek Romański, Wojciech Siwiec, Mariusz Puczyński, Jeremi Stępiński, Apolinary Kowalski, Adam Ratyński, Agnieszka Chmurska, Bartosz Chmurski, Piotr Tuszyński and Lech Ohryski, took third place at the Polish Bridge Championships, which came to a close on 2nd May 2004. Two pairs from Praterm`s team will be included in the Polish national team participating in the 47th European Team Bridge Championships, which shall be held from 19th June to 3rd July in Malmo (Sweden).



Praterm will invest in HP Chrzanów

The company was established following the privatisation of Przedsiębiorstwo Energetyki Cieplnej of Chrzanów through its introduction by the State Treasury and the provision of additional capital by Praterm S.A. Pursuant to the privatisation contract, Praterm S.A took up 51% of shares, while the State Treasury acquired 49% of shares in the new company. Praterm S.A. specialises in the modernisation and automation of heat generation systems using its own production technologies.

Together with PEC Sp. z o.o. of Chrzanów, the POLSKA GRUPA CIEPŁOWNICZA being established by Praterm provides thermal energy in 13 cities: Sztum, Pasłęk, Poręb, Zamość, Bytów, Świeć, Świdnik, Przasnysz, Międzyrzec Podlaski, Tarnowskie Góry, Chrzanów, Trzebinia and Libiąż.




Acquisition of HP in Tarnowskie Góry
2003-12-23

Pursuant to the contract, Praterm S.A. purchased 38% of shares and undertook to raise capital by the same value. The value of the transaction is 4.7 million PLN. MPEC of Tarnowskie Góry has joined the Polska Grupa Ciepłownicza which is currently being created by Praterm and already includes systems located in 9 different cities.



Development of ZEC Świecie
2003-12-01

On 26-11-2003, the Zakład Energetyki Cieplnej of Świeć put into operation a new, type WR-10 stoker-fired boiler which runs on fine coal. The total cost of the investment exceeded 1.5 million PLN and constituted one of the stages that Praterm undertook to execute when purchasing ZEC Świecie in October 2002. The new boiler will make it possible to eliminate ZEC`s low-efficiency "Służba Zdrowia" boiler house next year.



Increase in production at ZEC Przasnysz
2003-11-18

Work has been completed at ZEC Przasnysz on the development of the heat distribution network in the Old Town. In total, during the years 2003 - 2002, more than 4 million PLN will be invested in ZEC Przasnysz. This means that the five-year investment undertakings of Praterm will have been exceeded in just 18 months. ZEC Przasnysz has connected new consumers with a total power consumption of 6 MW, and this may lead to an increase in production of more than 50%. A few dozen low-emission sources - in the form of local coal and oil fired boiler houses - have been eliminated from the Old Town.



Completion of the modernisation of EC Wieczorek
2003-10-28

Praterm S.A. has completed the execution of modernisation work for ZEC Katowice at the Wieczorek Combined Heat Power Plant. According to the parties` initial settlement of the results of modernisation, the amount of annual savings declared by Praterm for the heat generation system - 1.5 million PLN per annum - will be exceeded. The effects of modernisation include the lower consumption of coal and electric energy, lower transmission losses and increased sales of electric energy generated by the facility.
